Terms of Service Agreement

Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform. By accessing or using the Platform, you represent and warrant that you meet these requirements.

Service Description and License

BidSeek, LLC maintains a comprehensive database of industrial machinery auction results and related market data through our proprietary BidSeek feature. This exclusive tool allows subscribers to access historical transaction data and market analytics. Our database is compiled from various sources including public auctions, private sales, and industry reports, all of which are integrated into the BidSeek system.

Data Sources and Legal Compliance

BidSeek compiles auction data from publicly available sources including auction websites, published auction results, and other lawful public information sources. Our data collection and presentation activities are conducted in accordance with applicable United States laws, including fair use principles, First Amendment protections, and other lawful doctrines governing access to publicly available factual information.

All auction price data represents factual information not subject to copyright protection under applicable United States law.

Payment and Subscription Terms

Your subscription to BidSeek, LLC may be paid using standard credit cards:

• Mastercard
• American Express
• Discover

All payments shall be in US dollars. You agree to provide current, complete, and accurate billing information for all purchases. You agree that subscription fees will be based on the pricing and terms in effect at the time of your initial subscription or any subsequent renewal. Any changes to subscription terms or pricing will be effective upon your next renewal period.

Cancellation and Refunds

• You may cancel your subscription at any time.
• Your access continues until the end of the current billing period.
• Subscription fees are non-refundable.

Subscription Renewal

• Subscriptions automatically renew for successive periods.
• We may modify fees upon renewal with 30 days' notice.
• Changes to renewal terms require written agreement, which may be provided electronically.

Data Accuracy and Disclaimer

The Platform does not provide legal, financial, or appraisal advice, and is intended solely as a research and reference tool.

Users explicitly acknowledge and agree that:

• All data in our Platform may contain inaccuracies or errors.
• Historical sales data may not reflect current market values.
• Auction prices may not represent fair market value.
• We make no representations about the accuracy, reliability, completeness, or timeliness of the data.
• Users rely on all information at their own risk.
• We have no duty to verify accuracy of any information.
• We are not liable for any decisions made based on the data.
• Auction data updates are not guaranteed to occur monthly and may take longer periods between updates.

Permitted Use and Restrictions

Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

Your subscription grants you a limited, non-transferable right to:

• Access auction comparable data through BidSeek for professional business purposes.
• Generate reports for your organization's internal purposes.
• Search and view individual transaction records within the Platform.

Prohibited Activities

The following activities are strictly prohibited:

• Extracting, copying, or downloading bulk data from BidSeek or any part of our Platform
• Creating derivative databases or competing products
• Sharing access credentials or subscription benefits
• Reproducing substantial portions of the BidSeek database in any format
• Redistributing or reselling any information obtained through our Platform
• Attempting to reverse engineer or replicate the proprietary structure, compilation, ranking, analytics, or presentation of the BidSeek Platform.

Intellectual Property and Data Rights

BidSeek's proprietary database compilation, software features, and data presentation constitute original works protected by copyright law. While underlying auction prices represent uncopyrightable factual information, our unique compilation, analysis tools, and user interface are protected intellectual property.

Auction images, where displayed, are provided solely for identification, reference, and professional market intelligence purposes and are not intended to substitute for the original works. Such images may not be used for purposes outside those contemplated in this agreement. All content, features, and functionality of our Platform, including but not limited to BidSeek, are owned by BidSeek, LLC and are protected by United States and international intellectual property laws.

Enhanced Limitation of Liability

• Business interruption or loss of profits
• Investment decisions based on platform data
• Appraisal accuracy or professional liability
• Third-party claims related to data usage
• Service interruptions due to data source modifications
• Legal costs or attorney fees

The services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

User Indemnification

Users agree to indemnify, defend, and hold harmless BidSeek, LLC from any claims, damages, or legal costs arising from:

• Use of platform data for professional services
• Third-party challenges to data usage
• Professional liability claims related to appraisals using platform data
• Violation of these Terms of Service

Electronic Communications

You consent to receive electronic communications and agree that all agreements and notices provided electronically satisfy any legal requirement for written communication.

Termination

We reserve the right to terminate or suspend your access to our Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Updated terms will be effective upon posting to the Platform. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.

Governing Law

These Terms and Conditions and your use of the Services are governed by and construed in accordance with the laws of the State of Wyoming applicable to agreements made and to be entirely performed within the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located within the State of Wyoming.
